1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and VASTech Technologies ("we," "us" or "our"), concerning your access to and use of the Social Connect website as well as any related applications, services, and products (collectively, the "Service").

You agree that by accessing the Service, you have read, understood, and agree to be bound by all of these Terms of Service. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF SERVICE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICE AND YOU MUST DISCONTINUE USE IMMEDIATELY.

Supplemental terms and conditions or documents that may be posted on the Service from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Service at any time and for any reason.

Unless otherwise indicated, the Service is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Service (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes, subject to these Terms.

4. User Representations

By using the Service, you represent and warrant that: (1) you have the legal capacity and you agree to comply with these Terms of Service; (2) you are not a minor in the jurisdiction in which you reside; (3) you will not access the Service through automated or non-human means, whether through a bot, script or otherwise; (4) you will not use the Service for any illegal or unauthorized purpose; and (5) your use of the Service will not violate any applicable law or regulation.

You may be required to register with the Service. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

• Maintaining the security of your login credentials.
• Promptly notifying us of any unauthorized use of your account or any other breach of security.

6. Social Media Platform Integrations

Social Connect allows you to connect various social media accounts (Facebook, Instagram, LinkedIn, TikTok, YouTube, Google Business Profile, Pinterest, Threads, Bluesky, Mastodon). By connecting a third-party account:

• You authorize us to access, store, and use the information from that platform as described in our Privacy Policy.
• You represent that you are authorized to grant us access to such account and that doing so does not violate any terms of service of that third-party platform.
• You acknowledge that we are not responsible for any actions taken by the third-party platform regarding your content or account.
• You agree to comply with the terms of service of each connected platform.

7. Payments and Subscriptions

Certain features of the Service may be offered on a paid basis. By purchasing a subscription, you agree to pay all fees and charges associated with your selected plan.

• Billing: We use third-party payment processors. You authorize us to charge your chosen payment method for all applicable fees.
• Subscription Renewals: Unless you cancel your subscription before the renewal date, your subscription will automatically renew for the same period at the then-current price.
• Cancellation: You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period.
• Refunds: Unless required by law, payments are non-refundable. We do not provide refunds or credits for partial subscription periods.
• Fee Changes: We may change our fees at any time. Fee changes will take effect at the start of the next billing cycle.

8. Acceptable Use Policy

You agree not to use the Service to:

• Upload, post, or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.

• Infringe upon or violate our intellectual property rights or the intellectual property rights of others.
• Upload or transmit viruses, worms, or any other destructive code.
• Interfere with or disrupt the integrity or performance of the Service.
• Attempt to gain unauthorized access to the Service or its related systems or networks.
• Use the Service to send unsolicited commercial messages, spam, or chain letters.
• Collect or harvest any personally identifiable information from the Service without consent.
• Use the Service in a manner that exceeds your authorized usage limits or that violates any third-party platform's terms of service.

We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

10. Service Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Service at any time or for any reason at our sole discretion without notice. We also reserve the right to modify or discontinue all or part of the Service without notice at any time. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Service.

We do not guarantee the Service will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance, resulting in interruptions, delays, or errors. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Service during any downtime or discontinuance.

11. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation a breach of these Terms of Service.

If you wish to terminate your account, you may simply discontinue using the Service or delete your account through your account settings.

Upon termination, your right to use the Service will cease immediately. Provisions of these Terms of Service which by their nature should survive termination shall survive, including without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Google API Services (Limited Use Disclosure)

Social Connect uses YouTube API Services and other Google API Services to provide core functionality. Our use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.

You can revoke Social Connect's access to your Google data at any time by visiting the Google security settings page or by disconnecting your account within the Social Connect application.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. YOU AGREE THAT YOUR USE OF THE SERVICE WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICE AND YOUR USE THEREOF, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICE'S CONTENT OR THE CONTENT OF ANY WEBSITES LINKED TO THE SERVICE AND WE WILL ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY (1) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (2) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE SERVICE, (3) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION STORED THEREIN.

14. Limitation of Liability

IN NO EVENT SHALL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL BE LIMITED TO THE GREATER OF (A) THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (B) $100 USD.

15. Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: (1) your use of the Service; (2) breach of these Terms of Service; (3) any breach of your representations and warranties set forth in these Terms of Service; (4) your violation of the rights of a third party, including but not limited to intellectual property rights; or (5) any overt harmful act toward any other user of the Service with whom you connected via the Service.

16. Governing Law and Dispute Resolution

These Terms of Service and your use of the Service shall be governed by and construed in accordance with the laws of Pakistan, without regard to its conflict of laws principles. Any legal action or proceeding arising under these Terms of Service shall be brought exclusively in the courts located in Lahore, Pakistan, and the parties hereby consent to the personal jurisdiction and venue there.

Prior to initiating any arbitration or legal proceeding, you agree to first attempt to resolve any dispute informally by contacting us at legal@socialconnect.itelc.org.

17. Severability

If any provision of these Terms of Service is held to be unenforceable or invalid, such provision shall be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and VASTech Technologies regarding your use of the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Service.
